Terms of Service
1. Parties & acceptance
These Terms of Service ("Terms") are a binding agreement between Redbit S.r.l.s., Viale della Grande Muraglia 494, 00144 Roma, Italy — VAT IT15237911001, REA RM-1576999, PEC [email protected] ("Redbit", "we", "us") — and the business or individual that registers for or uses the SerpTune service ("Customer", "you"). By creating an account or using the Service you accept these Terms. If you accept on behalf of an organisation, you represent that you are authorised to bind it.
2. Definitions
"Service" means the SerpTune application at serptune.com and its related APIs. "Analysis" means a comparative report you request. "Your Page" means a URL you submit for analysis. "Competitors" means the pages ranking for the query you analyse. "Credits" mean the prepaid units consumed by an Analysis. "Wallet" means your Credit balance.
3. The Service
SerpTune performs comparative SEO analysis. For a query and a page you submit, the Service retrieves public search-engine results, fetches and cleans the ranking Competitor pages and Your Page, and uses artificial intelligence to produce a report covering topical/semantic gaps, UX and structure gaps, and answer-engine (AI Overviews) readiness. Reports are informational; they are not professional, legal, or financial advice, and we do not guarantee any ranking, traffic, or business outcome.
4. Eligibility & accounts
You must be at least 18 and use the Service for professional purposes. You are responsible for the accuracy of your registration details, for all activity under your account, and for safeguarding your credentials. Notify us promptly of any unauthorised use.
5. Acceptable use
You must not use the Service to: analyse pages in violation of applicable law or a third party's rights; attempt to de-anonymise, harvest, or compile personal data about individuals; overload, probe, or disrupt the Service or the sites it fetches; circumvent our compliance or rate-limiting controls; resell or white-label the Service without our written consent; or reverse-engineer the Service except to the extent permitted by mandatory law.
6. Crawling & compliance controls
The Service fetches only publicly accessible pages, identifies its automation honestly with the SerpTuneBot user-agent, respects robots.txt, rate limits and Retry-After directives, does not attempt to log in or bypass paywalls, and does not solve CAPTCHAs. Any domain owner may exclude their site from SerpTuneBot as described on our crawler page. Attempting to defeat these controls is a material breach.
7. Your content & responsibilities
You retain all rights to the URLs, queries, and data you submit. You grant us a limited licence to process them solely to provide the Service. You are responsible for having a legitimate purpose for each Analysis and for your own compliance obligations. Our processing of personal data is governed by the Privacy Policy and, where we process personal data on your behalf, by our Data Processing Agreement, incorporated by reference.
8. Intellectual property
The Service, including its software, orchestration, design, and documentation, is and remains the property of Redbit and its licensors. No rights are granted except the right to use the Service under these Terms. The report generated for you may be used freely for your own business purposes. Feedback you provide may be used by us without restriction.
9. Credits, billing & refunds
The Service is sold via subscription plans that grant monthly Credits and via one-off Credit packs. An Analysis reserves Credits when submitted and consumes them on success; if an Analysis fails for reasons attributable to us, the reserved Credits are refunded to your Wallet. Payments are processed by our payment provider (Revolut); card data is handled by the provider and never stored by us. Prices are exclusive of applicable taxes, which you are responsible for. Subscriptions renew automatically until cancelled; you may cancel at any time with effect at the end of the current period. Prepaid Credits and elapsed subscription periods are non-refundable except where required by applicable law. We may change prices prospectively with notice.
10. Third-party services
The Service relies on third parties, including our payment provider, a search-results provider, and AI providers (see the Privacy Policy for the current list). We are not responsible for third-party services outside our control.
11. Suspension & termination
We may suspend or terminate access upon credible abuse reports, non-payment, or breach of these Terms. You may stop using the Service and close your account at any time. Provisions that by their nature should survive termination (including sections 7, 8, 12–15, 17) survive.
12. Warranties & disclaimer
The Service is provided "as is" and "as available", without any service-level commitment. To the maximum extent permitted by applicable law, Redbit disclaims all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement, and does not warrant that the Service will be uninterrupted, error-free, or that any Analysis is complete or accurate.
13. Limitation of liability
To the maximum extent permitted by applicable law, Redbit is not liable for indirect, incidental, special, or consequential damages, or for loss of profits, data, rankings, or goodwill. Redbit's aggregate liability arising out of or relating to the Service is limited to the fees you paid in the twelve (12) months preceding the event giving rise to the claim. Nothing in these Terms limits liability that cannot be excluded under applicable law (including for fraud, gross negligence, or death or personal injury caused by negligence).
14. Indemnification
You will defend and indemnify Redbit against third-party claims, damages, and costs arising from your use of the Service in breach of these Terms or applicable law, including any unlawful purpose for an Analysis or misuse of a generated report.
15. Confidentiality
Each party will protect the other's non-public information disclosed in connection with the Service and use it only to perform under these Terms.
16. Changes to the Service or Terms
We may modify the Service and update these Terms. We will give notice of material changes by email and by in-app notice at least 30 days before they take effect, except where a change is required by law or addresses a security issue. Continued use after the effective date constitutes acceptance.
17. Governing law & jurisdiction
These Terms are governed by Italian law. The courts of Rome, Italy have exclusive jurisdiction over any dispute, without prejudice to mandatory protections available to consumers where applicable.
18. Miscellaneous
If any provision is unenforceable, the remainder stays in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them to an affiliate or successor. These Terms, the Privacy Policy, and the DPA are the entire agreement between the parties. Neither party is liable for delays caused by events beyond its reasonable control (force majeure).
